Terms & Conditions

These Terms & Conditions form a legally binding agreement between you and CN Precision Manufacturing. By browsing our website, submitting an RFQ, placing a purchase order, or otherwise engaging with our services, you confirm that:

• You are at least 18 years of age and represent a legally established business entity.
• You have the authority to enter into binding contracts on behalf of the entity you represent.
• All information you provide is accurate, complete, and current.
• Your use of our services complies with all applicable laws in your jurisdiction and the jurisdiction of import.

If separately executed agreements (such as a Master Supply Agreement, NDA, or Purchase Order Terms) exist between you and CN Precision, those documents will take precedence over these Terms in the event of any conflict.

CN Precision Manufacturing provides comprehensive precision manufacturing solutions from our Shenzhen facility, including but not limited to:

• Custom mold making & tooling: injection molds with tolerances down to ±0.01mm.
• Plastic injection molding: production on 30T–2000T machines, including overmolding, insert molding, and multi-material applications.
• CNC machining & prototyping: 3-axis and 5-axis CNC milling, turning, and EDM services.
• 2K / double injection molding: advanced multi-material injection molding for complex components.
• DFM (Design for Manufacturability) analysis and technical engineering consultation.
• Quality assurance: CMM inspection, optical projection, and hardness testing.
• Global export & logistics support including customs documentation.

All services are performed under our IATF 16949:2016, ISO 9001:2015, and ISO 14001:2015 certified quality management systems.

Quotations

• All quotations are provided based on the technical drawings, 3D CAD files, and specifications supplied by the Client.
• Quotations remain valid for 30 days from the date of issue unless otherwise stated in writing.
• Pricing is subject to change if design revisions, material substitutions, quantity changes, or additional requirements arise after quotation.
• Estimated lead times are indicative and become binding only upon written order confirmation.

Order Confirmation

An order is deemed accepted only when we issue a written Order Confirmation (Proforma Invoice or Sales Contract) and the Client returns a signed copy along with the agreed deposit. No verbal orders, email exchanges, or preliminary discussions constitute a binding contract.

Order Cancellation

Cancellation of confirmed orders requires our written consent. The Client shall be responsible for all costs incurred up to the cancellation date, including materials procured, engineering hours, and machine time reserved.

All prices are quoted in USD unless otherwise agreed and are exclusive of taxes, duties, and import fees applicable at the destination country.

Standard Payment Structure

• Mold making: 50% deposit upon order confirmation, 50% balance after T1 sample approval and before mold shipment.
• Mass production: 30% deposit upon order confirmation, 70% balance before shipment or against Bill of Lading copy.
• Prototype / low-volume orders: 100% payment before production commences.

Accepted Payment Methods

• Bank wire transfer (T/T) to our designated corporate bank account.
• Letter of Credit (L/C at sight) for orders exceeding USD 50,000, subject to prior agreement.
• Other methods may be arranged on a case-by-case basis.

Unless otherwise agreed in writing, deliveries are made on FOB Shenzhen or EXW Shenzhen Incoterms 2020. Alternative terms including CIF, DAP, and DDP are available upon request.

Lead Times

• T1 samples for standard injection molds: typically 25–30 days from project kick-off.
• Complex 2K molds or tight-tolerance projects: typically 35–40 days.
• Mass production: as agreed in the Order Confirmation based on volume and complexity.

Shipping & Risk

• We work with DHL, FedEx, UPS (air freight) and Maersk, MSC, and equivalent partners (ocean freight).
• Risk of loss and damage transfers to the Client upon delivery to the carrier per the agreed Incoterms.
• Client is responsible for customs clearance, import duties, and any local taxes unless DDP terms are agreed.
• Delivery delays caused by third-party carriers, customs, or force majeure events shall not constitute a breach by CN Precision.

All manufacturing is performed under our IATF 16949 and ISO 9001 quality management systems. Standard quality practices include:

• Full-dimensional CMM inspection reports issued with every mold delivery and initial production batch.
• Material certifications, RoHS/REACH declarations, and inspection documentation provided upon request.
• Statistical process control (SPC) for high-volume automotive and medical device production.

Inspection & Claims

• The Client is responsible for inspecting all products within 15 days of receipt at destination.
• Any claim for non-conforming products must be submitted in writing within this period, accompanied by photographic evidence, inspection reports, and, where applicable, physical samples for return.
• Claims submitted after this period may not be accepted.
• Upon confirmation of a valid claim, we will, at our sole discretion, repair, replace, or credit the value of the non-conforming products.

Client's IP

All designs, drawings, 3D CAD files, specifications, and technical information supplied by the Client remain the exclusive intellectual property of the Client. CN Precision uses such materials solely for the purpose of preparing quotations and executing the agreed manufacturing services.

CN Precision's IP

All manufacturing know-how, process improvements, mold design modifications developed by our engineers, proprietary techniques, and tooling standards remain our intellectual property. The Client is granted a non-exclusive right to use products manufactured for its purposes but obtains no rights to our underlying manufacturing IP.

Mold Ownership

• Molds paid for in full by the Client become the Client's property upon full payment.
• Molds remain in our custody for use in ongoing production unless the Client requests physical delivery.
• Molds not activated for production for 24 consecutive months may be scrapped after 60 days' written notice unless storage arrangements are agreed.

All content on cnprecisionmfg.com — including text, images, logos, videos, and layout — is the property of CN Precision Manufacturing and protected by copyright and trademark laws. Reproduction, republication, or commercial use without written consent is prohibited.

CN Precision treats all Client project information as confidential business information. Our engineering and sales teams handle CAD files, technical drawings, and business communications under strict internal confidentiality policies equivalent to a mutual NDA.

• Client project data will not be disclosed to third parties without prior written consent.
• Client project data will not be used to manufacture identical or substantially similar products for other clients.
• Formal Non-Disclosure Agreements (NDAs) can be executed upon Client request at any stage of the engagement.

Product Warranty

We warrant that products manufactured by CN Precision will conform to the agreed specifications and approved samples, and will be free from defects in workmanship and materials under normal use.

• Molds: guaranteed for the agreed production life (typically 300,000–1,000,000 shots depending on material and complexity) under normal operating conditions.
• Molded parts: warranty covers defects identified within the inspection period specified in Section 6.

Warranty Exclusions

The warranty does not apply to defects arising from:

• Design flaws in Client-supplied drawings or specifications.
• Modification, repair, or misuse of products or molds after delivery.
• Normal wear and tear, or operation outside recommended parameters.
• Damage during shipping (subject to carrier insurance).

Except as expressly stated herein, CN Precision makes no other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.

To the maximum extent permitted by applicable law:

• CN Precision's total aggregate liability arising out of or related to any order shall not exceed the total invoice value of the specific order giving rise to the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business opportunity, downtime, or reputational damage.
• We shall not be liable for defects or failures resulting from Client-supplied designs, materials, or specifications.

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to:

• Natural disasters, epidemics, pandemics, or extreme weather events.
• Government actions, export restrictions, tariffs, sanctions, or embargoes.
• Power grid failures, cyberattacks, or critical raw material supply disruptions.
• Labor disputes, transportation blockages, or port closures.
• War, terrorism, civil unrest, or similar events.

The affected party shall notify the other in writing as soon as reasonably possible and take reasonable steps to mitigate the impact. If the force majeure event persists for more than 90 consecutive days, either party may terminate the affected order without further liability, except for payment for work already completed.

By using our website, you agree not to:

• Use the website in any way that violates applicable laws or regulations.
• Attempt to gain unauthorized access to our systems, servers, or connected networks.
• Introduce malware, viruses, or other harmful code.
• Scrape, harvest, or collect information about our clients or business operations without permission.
• Reproduce, duplicate, copy, or resell any portion of the website content without our express written consent.
• Impersonate CN Precision or misrepresent your affiliation with us.

We reserve the right to restrict or terminate website access for any user who violates these rules.

Either party may terminate an ongoing business relationship or specific order under the following circumstances:

• Material breach: failure to remedy a material breach within 30 days of written notice.
• Insolvency: bankruptcy, liquidation, or inability to meet financial obligations of either party.
• Extended force majeure: as described in Section 11.

Upon termination, all outstanding invoices become immediately due and payable. Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.

These Terms & Conditions and any orders placed with CN Precision shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict-of-law principles.

Dispute Resolution

• Negotiation first: the parties shall attempt in good faith to resolve any dispute through amicable negotiation within 30 days of written notice.
• Arbitration: if negotiation fails, disputes shall be finally settled by arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Shenzhen, in accordance with its rules in effect at the time of arbitration.
• Language: arbitration proceedings shall be conducted in English.
• Binding: the arbitration award shall be final and binding on both parties.

CN Precision reserves the right to modify these Terms & Conditions at any time to reflect changes in our services, industry practices, or legal requirements. Updated Terms will be posted on this page with a revised "Last Updated" date, and material changes will be communicated to active clients where feasible.

Continued use of our website or services after any modification constitutes acceptance of the updated Terms. If you do not agree to the modifications, please discontinue use and contact us.

If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
